A team of Sprouse Shrader Smith attorneys represented affiliates of Pinnacle Asset Management, LP in the purchase of JBS Five Rivers Cattle Feeding, the largest cattle feeder in the world.  This approximately $200 million purchase included 11 feed yards across Arizona, Colorado, Idaho, Kansas, Oklahoma and Texas with a combined feeding capacity of over 900,000 head of cattle.  Five Rivers, previously owned by JBS USA, employs over 600 personnel.

The team of attorneys was headed by John Massouh and Taylor Kelley, both members of Sprouse Shrader Smith law firm’s Agriculture and Agribusiness practice section.  Sprouse was retained by the purchasers because of its expertise in the agriculture industry, especially the cattle feeding industry.  John Massouh and Taylor Kelley utilized their experience to effectively assist in the negotiation of the acquisition of JBS Five Rivers Cattle Feeding, including the negotiation of a long-term cattle supply agreement with JBS and several other cattle related agreements between the parties.  John Massouh has over 18 years of experience in agriculture law, representing feed yards, livestock dealers, livestock producers, agriculture vendors, farmers, ranchers, and financial institutions in all types of transactions and litigation.  Taylor Kelley has significant experience representing organizations in mergers, acquisitions and corporate transactions, both in the agri-business industry and across other industries.

“We were honored to assist with Pinnacle’s acquisition of the largest cattle feeding entity in the world and look forward to continuing the relationship with Five Rivers for years to come.  We are thrilled that we were able to effectively put our cattle feeding knowledge and expertise to work in order to achieve a great outcome for our clients.” said John Massouh.
